Two secretive female tycoons spend half a trillion to take over Hoang Quan Real Estate

Details of the owner's capital contribution of Hoang Quan Real Estate Consulting - Trading - Service Joint Stock Company have changed. Ms. Phan Thi Thanh Nga and Nguyen Thi Ngoc are new shareholders, with a contribution of more than 520 billion VND.

The recently announced financial report for the fourth quarter of 2024 of Hoang Quan Real Estate Consulting - Trading - Services Joint Stock Company (HQC) shows that the actual capital contributed by shareholders to the enterprise is 5,766 billion VND, as of June 30, 2024.

"The parent company is in the process of registering to change the business registration certificate according to the actual contributed capital," HQC's report explained.

In addition, HQC also disclosed details of the capital contributions of shareholders. Accordingly, at the end of 2024, Ms. Phan Thi Thanh Nga contributed VND 270 billion, equivalent to 27 million shares, accounting for 4.68% of the company's capital. The second female shareholder, Ms. Nguyen Thi Ngoc, contributed VND 250 billion, equivalent to 25 million shares, accounting for 4.34%.

Notably, the two major female shareholders mentioned above have only just appeared on the list of capital contributors. The report shows that as of January 1, 2024, these two do not own any shares at HQC.

Meanwhile, another shareholder, Mr. Nguyen Van Ha, sold nearly 17.5 million shares (equivalent to 3.66% of capital). As of December 31, 2024, Mr. Ha reduced his ownership ratio to 0% after only one year of ownership.

Previously, at the same time Mr. Ha appeared in the detailed equity report, Mr. Truong Anh Tuan - Chairman of HQC - along with his wife, Ms. Nguyen Thi Dieu Phuong, and Hoang Quan Group Company Limited also divested all capital at HQC.

Another notable point is that a major shareholder must own 5% or more of the voting shares of an issuing organization. However, based on HQC's detailed capital contribution statement at the end of 2024, this enterprise does not have a major shareholder.

Previously, in March last year, HQC approved the results of a private share offering with proceeds of VND1,000 billion.

The company only said that the number of shares that investors registered and paid to buy this time was 100 million shares, but the detailed list was not made public at that time.

After the offering, the charter capital of this real estate enterprise increased from VND 4,766 billion to VND 5,766 billion.

Regarding business situation, HQC's recorded revenue for the whole year of 2024 reached 512 billion VND, and after-tax profit was nearly 33 billion VND.

According to the resolution of the 2024 annual general meeting of shareholders, HQC plans to have a revenue of VND2,000 billion, an increase of more than 6 times compared to last year, and a profit after tax of VND100 billion, an increase of more than 19 times. Thus, this real estate company did not achieve the plan set out last year.
